1. About chakricoas

chakricoas is a foreign investment law advisory practice with its principal office at 47 Ratchadamri Road, Lumphini, Pathum Wan, Bangkok 10330, Thailand. References to "we", "our", or "the practice" in these terms refer to chakricoas and its practising lawyers.

Our services are legal advisory services. We do not provide financial advice, investment recommendations, tax filings, or accounting services. Where specialist expertise in adjacent areas is required, we will indicate this and, where appropriate, suggest referral to suitable practitioners.

2. Website Use

The information published on this website is provided for general informational purposes only. It does not constitute legal advice and does not create a lawyer-client relationship between you and chakricoas.

Legal frameworks governing foreign investment in Thailand — including the Foreign Business Act, Board of Investment promotion categories, and related regulations — are subject to periodic revision. 3. No Lawyer-Client Relationship

Submitting an enquiry through our contact form, sending an email, or making a telephone call does not establish a lawyer-client relationship. A lawyer-client relationship is formed only when we have:

• Confirmed in writing that we are able to advise you on your matter;
• Completed any required conflict checks and client identification procedures; and
• Issued and received a signed engagement letter setting out the scope and terms of the engagement.

Until those steps are complete, information you share with us is not protected by legal professional privilege. We encourage you to be mindful of this when submitting preliminary enquiries.

4. Scope of Services

Each engagement is governed by a written engagement letter issued for that matter. The engagement letter sets out the specific scope of work, the fee, payment terms, and any particular conditions applicable to the engagement.

Our services are confined to Thai law matters within our stated practice areas: Board of Investment promotion, Foreign Business Act advisory, and cross-border holding structure memoranda. We do not advise on the laws of other jurisdictions, though we may comment on general international frameworks — such as OECD standards on substance requirements — to the extent relevant to a Thai structure.

5. Fees and Payment

Our services are offered at fixed fees set out in the applicable engagement letter and on the relevant pages of this website. Fixed fees cover the defined scope of work as described. Work falling outside that scope may be the subject of a separate engagement and a further fixed fee.

Payment terms are stated in the engagement letter. We typically require partial payment in advance for new engagements. Fees are quoted and payable in Thai Baht. Bank transfer details are provided at the time of engagement.

VAT at the applicable Thai rate will be added to fees where required by law. If VAT treatment changes, we will notify you before invoicing.

6. Confidentiality

We treat all information shared with us in the context of an advisory engagement as confidential. We will not disclose client information to third parties except:

• As required by applicable law, court order, or regulatory obligation;
• With your express consent;
• To specialist co-counsel or service providers engaged to assist with your matter, subject to appropriate confidentiality obligations.

Confidentiality obligations survive the conclusion of an engagement.

7. Limitation of Liability

Our liability for any loss arising from services provided is limited to direct losses that are a reasonably foreseeable consequence of a failure to exercise reasonable professional care. We are not liable for indirect, consequential, or speculative losses, including but not limited to loss of business, loss of anticipated profit, or business interruption.

Our aggregate liability in connection with any single engagement shall not exceed the total fees paid by you for that engagement, unless a greater limitation or exclusion is agreed in writing.

Nothing in these terms limits our liability for fraud, wilful misconduct, or any liability that cannot be excluded by law.

8. Intellectual Property

Written memoranda, reports, and other work product delivered to you in the course of an engagement are prepared for your use in connection with the matter described in the engagement letter. You may share them with your directors, advisors, or financiers as required. You may not publish, reproduce, or distribute them publicly without our prior written consent.

All other content on this website — including text, design elements, and structural organisation — belongs to chakricoas or its content licensors and may not be reproduced without permission.

9. Third-Party Links

This website may contain links to external sources, including official Thai government portals and regulatory bodies. We provide these links for convenience and information purposes only. We do not endorse and take no responsibility for the content, availability, or accuracy of external sites.

10. Governing Law and Jurisdiction

These terms, and any engagement governed by them, are subject to the laws of Thailand. Any dispute arising in connection with these terms or our services shall be subject to the exclusive jurisdiction of the courts of Thailand, unless otherwise agreed in writing for a particular matter.

We may update these Terms and Conditions from time to time. The version in force at the time an engagement letter is issued governs that engagement. For website use, the version posted on this page at the time of your visit applies. We recommend reviewing these terms periodically.
